1. Handle corporate legal matters, including corporate actions such as acquisitions, mergers, restructuring, changes to the Articles of Association, and changes in the composition of the Board of Directors and Commissioners.
  2. Draft, review, negotiate, and manage commercial and corporate agreements and other legal documents to support the company’s business needs.
  3. Provide legal advice, analysis, and recommendations to management and business units on corporate, commercial, and transactional matters.
  4. Conduct legal due diligence and legal reviews for business transactions, investments, acquisitions, partnerships, and other corporate activities.
  5. Identify, assess, and mitigate legal risks arising from corporate transactions and business operations.
  6. Ensure compliance with applicable laws, regulations, corporate governance requirements, permits, and internal company policies.
  7. Conduct legal research and provide timely legal insights regarding relevant regulatory and business developments.
  8. Coordinate with management, Notaries, external legal counsel, government authorities, shareholders, Board of Directors, Board of Commissioners, and other external parties on corporate legal matters.
  9. Support contract negotiations and provide legal recommendations to protect the company’s interests and minimize potential legal exposure.
  1. Bachelor’s Degree in Law from a reputable university; Master’s Degree in Law, Master of Notarial Law, or a related legal/business field is an advantage.
  2. Minimum 4–5 years of relevant experience in Corporate Legal/In-House Legal, preferably in mining, natural resources, energy, manufacturing, or a corporate group; alternatively, minimum 3 years of relevant lawyering experience.
  3. Strong knowledge of Indonesian corporate law, commercial law, corporate governance, and applicable business regulations.
  4. Proven experience in handling corporate actions, including GMS/RUPS, amendments to the Articles of Association, changes in the composition of Directors/Commissioners, corporate restructuring, acquisitions, mergers, and other corporate transactions.
  5. Strong experience in drafting, reviewing, negotiating, and managing commercial and corporate agreements.
  6. Experienced in legal due diligence and legal review for business transactions, investments, acquisitions, partnerships, and other corporate activities.
  7. Strong legal research, legal analysis, negotiation, and legal advisory skills, with the ability to provide sound recommendations to management and business units.
  8. Strong ability to identify, assess, and mitigate legal risks, with a good understanding of permits, compliance, and legal risk management.
  9. Excellent communication, interpersonal, negotiation, analytical, and problem-solving skills.
  10. Detail-oriented, proactive, accountable, and possesses strong integrity, business acumen, and professional work ethic.
  11. Demonstrated ability to work independently and as part of a team, manage multiple legal matters, and work effectively under targets and deadlines.
  12. Good command of written and spoken English, particularly for drafting and reviewing legal documents, supported by valid English proficiency certification is an advantage.
  13. Proficient in Microsoft Office (Word, Excel, PowerPoint).
  14. Possess an Advocate License and/or PKPA certification is preferred.
